1. Acceptance

These Terms of Service govern access to and use of FolioSignal websites, desktop applications, mobile applications, hosted storefronts, client galleries, AI-assisted tools, storage, support services, and related features.

By creating an account, downloading the app, starting a trial, purchasing a license, using a hosted storefront, or inviting a client into a gallery, you agree to these Terms.

If you use FolioSignal for a business, studio, agency, or team, you represent that you have authority to bind that business to these Terms.

2. What FolioSignal Provides

FolioSignal is a licensed photographer business system. It may include:

• Windows, web, mobile, or desktop app access.
• Hosted storefronts and client galleries.
• Gallery blueprint tools.
• Image scoring and workflow recommendations.
• Lead, email, booking, payment, production, and launch preparation tools.
• Managed hosting, launch review, support, and troubleshooting.
• Integrations with third-party providers such as Cloudflare, OpenAI, Stripe, PayPal, Postmark, Google Analytics, Sentry, Google Workspace, Apple, Google Play, and print or marketplace providers.

FolioSignal is not a substitute for professional legal, accounting, tax, security, or business advice.

3. Accounts And Access

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You must provide accurate account, billing, business, domain, email, and contact information.

You may not share accounts except as allowed by your license level. Team accounts must be assigned to real authorized users.

FolioSignal may suspend access if account activity appears fraudulent, abusive, illegal, insecure, unpaid, or harmful to the service or other users.

4. Trials, Licenses, And Plans

FolioSignal may offer a limited trial. Trial features, duration, storage, scoring limits, publishing, exports, and integrations may be limited.

Paid plans may include different limits for storage, AI usage, leads, accounts, analytics, support, hosting, and workflow tools.

Your plan does not include unlimited storage, unlimited AI usage, unlimited bandwidth, or unlimited third-party provider costs unless explicitly stated in a written agreement.

Enterprise plans may include larger storage and unlimited team accounts, but storage, traffic, third-party costs, and excessive usage may still be subject to fair-use limits, separate pricing, or written approval.

5. Customer Content

"Customer Content" means photos, videos, text, comments, reviews, gallery data, client information, leads, business profile content, service descriptions, logos, brand assets, and other materials uploaded, entered, connected, or generated through your account.

You retain ownership of Customer Content. You grant FolioSignal a limited license to host, process, display, transmit, resize, analyze, back up, and otherwise use Customer Content as necessary to provide the service, support the account, secure the platform, and operate requested features.

You represent that you have all rights, permissions, releases, and consents needed to upload, process, publish, sell, print, license, or share Customer Content through FolioSignal.

6. Client Galleries And Reviews

Client galleries should be used only for clients, jobs, and media that you are authorized to share.

Client review actions such as accept, reject, comment, request edit, and star for review are intended to support the photographer-client workflow.

A starred photo or comment should not be published publicly unless the client has granted clear permission and the photographer has authority to publish the image and comment.

You are responsible for honoring privacy, model release, image usage, copyright, venue, school, workplace, event, and client confidentiality obligations.

7. AI-Assisted Features

FolioSignal may use AI to score photos, suggest gallery order, generate copy, summarize leads, draft tailored messages, recommend SEO terms, and support workflow decisions.

AI outputs are suggestions, not guarantees. You are responsible for reviewing, editing, approving, and using outputs appropriately.

FolioSignal does not guarantee that AI recommendations will increase bookings, income, ranking, search performance, conversion, artistic quality, or client satisfaction.

8. Payments And Third-Party Providers

FolioSignal may connect with payment processors, email services, hosting providers, analytics tools, app stores, print-on-demand providers, ad networks, and other third-party services.

Third-party services are governed by their own terms, policies, pricing, fees, taxes, chargebacks, data practices, account requirements, and availability.

FolioSignal is not responsible for third-party service outages, fee changes, declines, account suspensions, policy enforcement, chargebacks, or rejected integrations.

You authorize FolioSignal to connect or transmit information to a third-party provider only when you intentionally configure or approve that action.

9. Prohibited Uses

You may not use FolioSignal to:

• Upload or publish content you do not have rights to use.
• Violate privacy, publicity, copyright, trademark, contractual, or client confidentiality rights.
• Store illegal, exploitative, hateful, abusive, deceptive, or harmful content.
• Upload malware or attempt to bypass security controls.
• Access another account, client gallery, private media, or support tool without permission.
• Send spam, deceptive marketing, or unlawful communications.
• Create fraudulent payments, fake reviews, or misleading offers.
• Reverse engineer, copy, resell, scrape, or abuse the service.
• Use the service in a way that creates excessive technical, storage, AI, email, or support burden.

10. Availability And Changes

FolioSignal may update, improve, limit, suspend, or discontinue features. We will try to avoid unnecessary disruption but cannot guarantee uninterrupted availability.

Beta features may be incomplete, unstable, local-only, or subject to change.

11. Fees, Billing, Taxes, And Renewals

Paid plans are billed according to the selected plan and checkout terms. You are responsible for all applicable taxes, third-party fees, usage overages, chargebacks, and account costs unless otherwise stated.

Subscriptions may renew automatically until canceled. Cancellation stops future renewals but does not automatically refund past charges except as stated in the Refund Policy or required by law.

12. Termination

You may stop using FolioSignal or cancel your plan according to the account and billing process.

FolioSignal may suspend or terminate access for nonpayment, security risk, legal risk, abuse, fraud, policy violation, or use that harms the service or others.

After termination, access to hosted storefronts, galleries, AI tools, support, and stored data may end. Data export, retention, and deletion are handled according to the Privacy Policy and applicable plan terms.

13. Disclaimers

FolioSignal is provided "as is" and "as available" to the maximum extent allowed by law.

We do not guarantee uninterrupted service, error-free operation, specific business results, search rankings, booking increases, revenue increases, or the accuracy of every AI recommendation.

14. Limitation Of Liability

To the maximum extent allowed by law, FolioSignal and Felipe Media Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, reputational harm, or third-party service failures.

To the maximum extent allowed by law, total liability for claims relating to the service will not exceed the amount paid to FolioSignal for the service during the three months before the event giving rise to the claim.

15. Indemnification

You agree to defend, indemnify, and hold harmless FolioSignal and Felipe Media Inc. from claims, damages, losses, costs, and expenses arising from your Customer Content, client relationships, business operations, violation of these Terms, violation of law, or misuse of the service.

16. Changes To These Terms

We may update these Terms. Material updates will be posted or sent through reasonable notice. Continued use after changes become effective means you accept the updated Terms.
